1. Acceptance of Terms

By downloading, accessing, or using the Locly mobile application ("App"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not use the App. These Terms constitute a legally binding agreement between you and Locly.

2. About Locly

Locly is a mobile application designed to help users discover local businesses, access exclusive deals, and participate in loyalty programs. Locly connects consumers with local merchants in their community.

3. SMS Messaging & Communications

Locly uses SMS (Short Message Service) solely for transactional purposes — specifically to send One-Time Passcodes (OTPs) for account verification, login, and sign-up authentication. No promotional or marketing SMS messages will be sent.

• OTP/Verification Messages: SMS messages are sent only when you initiate a login or sign-up action that requires phone number verification. Messages are triggered solely by your own actions within the App.
• No Marketing SMS: Locly does not send promotional, marketing, or advertising text messages. All SMS communications are strictly transactional.
• Opt-Out: You may opt out of SMS communications at any time by replying STOP to any message you receive from us. After opting out, you will no longer receive SMS messages from Locly. To re-enable SMS, reply START.
• Message & Data Rates: Message and data rates may apply depending on your mobile carrier and plan. Locly is not responsible for any charges incurred from your carrier.
• Frequency: SMS messages are sent only when you actively attempt to log in or create an account. You will not receive unsolicited messages.
• Supported Carriers: SMS services are available through major US carriers. Carrier support is not guaranteed for all carriers.

4. Eligibility

You must be at least 13 years of age to use Locly. By using the App, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms.

5. User Accounts & Account Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to notify us immediately of any unauthorized use of your account.
• You are responsible for all activity that occurs under your account.
• Do not share your OTP or login credentials with anyone. Locly will never ask you for your OTP via email, chat, or phone call.
• You agree to provide accurate and complete information when creating your account.

6. User Responsibilities

By using Locly, you agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the App or its related systems.
• Post false, misleading, or fraudulent business information.
• Harass, abuse, or harm other users or business owners on the platform.
• Interfere with or disrupt the integrity or performance of the App.
• Use automated scripts, bots, or scraping tools to access or collect data from the App.

7. Business Listings

Business owners who list their businesses on Locly are responsible for ensuring the accuracy of their business information, promotions, and loyalty program terms. Locly reserves the right to remove or reject any listing that violates these Terms or our content guidelines.

8. Subscriptions & Payments

Certain features, such as business listings and featured placements, may require a paid subscription. All payments are processed securely through Stripe. By subscribing, you authorize us to charge your chosen payment method on a recurring basis. You may cancel your subscription at any time through your account settings.

9. Intellectual Property

All content, trademarks, logos, and intellectual property within the Locly App are owned by or licensed to Locly. You may not reproduce, distribute, or create derivative works without our express written permission.

10. Privacy Policy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

11. Disclaimers

The App is provided on an "as is" and "as available" basis. Locly makes no warranties, express or implied, regarding the App's reliability, accuracy, or fitness for a particular purpose. We do not guarantee uninterrupted access to the App.

12. Limitation of Liability

To the maximum extent permitted by law, Locly shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the App, even if advised of the possibility of such damages.

13. SMS Compliance (CTIA / TCPA)

Locly's SMS practices comply with the Telephone Consumer Protection Act (TCPA) and CTIA Messaging Principles and Best Practices:

• SMS messages are only sent with user-initiated consent at the time of login or sign-up.
• Users can opt out at any time by replying STOP to any message.
• We do not sell, share, or lease user phone numbers to third parties for marketing purposes.
• All messages identify Locly as the sender.
• Standard message and data rates may apply.

14. Changes to These Terms

We may update these Terms from time to time. We will notify users of significant changes via the App or by email. Continued use of the App after changes constitutes your acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the appropriate courts of competent jurisdiction within the United States.
